Terms & Conditions – Good Print

1. Definitions and General

1.1 “We”, “us”, and “our” refer to Blake Mark Productions Ltd, trading as Good Print, registered in England and Wales (Company No. 15804012), with its registered office at 124 City Road, London, United Kingdom, EC1V 2NX.
1.2 “You”, “your” or “Customer” means the individual, business, charity, or organisation placing an order with us.
1.3 These Terms and Conditions apply to all orders and supersede all others. By placing an order, you confirm that you have read, understood, and agree to be bound by these Terms in full.
1.4 We reserve the right to amend these Terms at any time. Any updates will take effect immediately upon publication on our website.

2. Orders and Acceptance

2.1 All orders are subject to acceptance by us. We reserve the right to decline or cancel any order at our discretion.
2.2 A confirmation email is issued upon receipt of your order. This confirmation constitutes acknowledgement, not acceptance, of the order. Acceptance occurs when production commence.
2.3 We reserve the right to amend product specifications or correct typographical or technical errors without prior notice.

3. Payment Terms

3.1 Upfront Payment: Unless otherwise agreed in writing, all orders must be paid in full at the time of ordering via our online checkout or invoice.
3.2 Credit Accounts: Approved account customers must settle invoices within thirty (30) days from the invoice date. Late payments may result in suspension of account facilities.
3.3 We reserve the right to charge interest on overdue accounts at 5% above the Barclays Bank plc base rate, accruing daily until full payment is received.
3.4 All discounts or promotional offers are discretionary and may be withdrawn at any time. Discounts are conditional on full and timely payment.
3.5 VAT: Prices displayed exclude VAT unless otherwise stated. VAT will be charged in accordance with UK law.

4. Artwork, Design and Intellectual Property

4.1 Customers may upload their own print-ready artwork or request design services from us.
4.2 Design services are chargeable and payable in advance.
4.3 All artwork created by us remains the intellectual property of Blake Mark Productions Ltd until payment in full has been received.
4.4 You are solely responsible for ensuring that any artwork supplied is complete, accurate, and free of errors. We accept no liability for mistakes, low-resolution images, incorrect colours, or formatting issues in customer-supplied artwork.
4.5 We reserve the right to reject artwork deemed offensive, unlawful, defamatory, or infringing intellectual property rights.

5. Proofs and Artwork Approval

5.1 Proofs are not supplied as standard unless explicitly requested in writing at the time of ordering.
5.2 Where a proof is requested, a digital proof will be issued by email for approval. Printing will not commence until written confirmation is received. Approval of a proof constitutes full acceptance of responsibility for all text, imagery, layout, and colour.
5.3 Where no proof is requested, the artwork submitted at the time of order is deemed final and approved for print. You accept full responsibility for ensuring that all artwork provided is correct and print-ready.
5.4 We shall not be held liable for any errors, omissions, or defects in printed materials where the artwork was supplied or approved by you.

6. Production and Fulfilment

6.1 Products are produced either in-house or via approved third-party suppliers under our direction and quality assurance processes.
6.2 We may amend specifications, substitute equivalent materials, or modify production methods where required for availability or quality reasons.
6.3 Turnaround times are approximate and commence only once payment and artwork approval (where applicable) have been received.
6.4 We accept no responsibility for delays caused by factors outside our reasonable control, including supplier delays, courier issues, or force majeure events.

7. Delivery

7.1 Delivery dates and times are estimates only. We will use reasonable endeavours to deliver on time, but no liability is accepted for any delay or loss arising therefrom.
7.2 Standard delivery is free to mainland UK. Deliveries outside mainland UK may incur additional charges.
7.3 Risk in the goods passes to you upon delivery. Ownership of all goods remains with Blake Mark Productions Ltd until payment in full has been received.
7.4 You must inspect all goods immediately upon delivery. Any issues relating to damage, shortage, or defects must be reported in writing within 48 hours of delivery. Claims received after this period cannot be accepted.

8. Returns, Refunds and Reprints

8.1 Claims relating to quality, damage, or quantity must be made within 48 hours of receipt of the goods. This timeframe cannot be extended.
8.2 If a product is found to be defective, we may at our discretion offer a reprint or replacement. Refunds are only issued where a reprint is not possible.
8.3 All defective items must be returned in full before any reprint or refund is processed.
8.4 We are not responsible for errors arising from incorrect or incomplete artwork supplied by the Customer.
8.5 All claims are subject to our inspection and approval.
8.6 Orders cannot be cancelled once production has commenced.

9. Quantity and Colour Variations

9.1 We shall be deemed to have fulfilled our contractual obligations by delivering a quantity within ±5% of the quantity ordered. You will be charged at the contract rate for the quantity delivered.
9.2 Reasonable variations in colour, texture, or finish between print runs, materials, or lamination types shall not constitute defects.

10. Limitation of Liability

10.1 Our total liability for any claim arising out of or in connection with the supply of goods shall not exceed the contract price of the goods supplied.
10.2 We accept no liability for indirect, consequential, or financial loss, including but not limited to loss of profits, revenue, or opportunity.
10.3 Nothing in these Terms shall exclude or limit our liability for death or personal injury caused by negligence, fraud, or any matter that cannot be excluded under applicable law.

11. Force Majeure

We shall not be liable for any delay or failure to perform our obligations arising from events beyond our reasonable control, including but not limited to equipment failure, strikes, fire, floods, transportation delays, or supply chain disruption.

12. Discounts and Promotional Offers

12.1 Discounts, voucher codes, and promotional offers are subject to availability and may be withdrawn without notice.
12.2 Discounts cannot be used in conjunction with other offers unless explicitly stated.

13. Governing Law

These Terms and all contracts arising under them shall be governed by and construed in accordance with the laws of England and Wales. The English courts shall have exclusive jurisdiction over all disputes.

14. Data Protection Policies

Your use of our website and services is also governed by our Privacy Policy, Cookie Policy, and Data Processing Statement, available on our website. We comply fully with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
